INTRODUCTION
The Board of Directors of Ekovest Berhad ("the Company") wishes to announce that Nuzen Corporation Sdn Bhd, a wholly-owned subsidiary of Wira Kristal Sdn Bhd, which in turn is a wholly-owned subsidiary of the Company had on 24 June 2015 subscribed and acquired seven (7) ordinary shares of RM1.00 each representing 70% of the issued and paid-up share capital of Lebuhraya DUKE Fasa 2A Sdn Bhd ("LDF2A") at a total purchase consideration of Ringgit Malaysia: Seven only (RM7.00).
DETAILS OF LDF2A
LDF2A was incorporated on 17 June 2015 with an authorised share capital of RM400,000.00 and issued and paid-up share capital of RM10.00. LDF2A is currently dormant.
DIRECTORS' AND MAJOR SHAREHOLDERS' INTEREST
None of the directors and/or major shareholders of the Company and/or persons connected with them have any interest, direct or indirect in the transaction.
EFFECTS OF THE TRANSACTION
The transaction does not have any effect on the share capital and/or substantial shareholders' shareholdings and are not expected to have any material effect on the earnings per share, net assets per share and gearing of the Ekovest Berhad Group.
APPROVAL REQUIRED
The transaction does not require the approval of shareholders and/or other relevant authorities.
