(Unless otherwise stated, all abbreviations used herein shall have the same meanings as mentioned in the Company’s announcement dated 27 October 2023 in relation to the Proposed Credence Acquisition)
We refer to the Company’s announcements dated 27 October 2023, 27 May 2024, 26 July 2024, 27 January 2025, 25 July 2025, 29 August 2025, 29 September 2025, 29 October 2025, 28 November 2025 and 26 December 2025 in relation to the execution of a binding heads of agreement between the Company and TSDLKH to explore and negotiate the Proposed Credence Acquisition.
The Company wishes to announce that, despite ongoing efforts between the parties, the Proposed Credence Acquisition will not proceed. The HOA entered into between the Company and TSDLKH to explore and negotiate the Proposed Credence Acquisition has lapsed upon the expiry of its final extension on 26 January 2026, as mutually agreed by both parties.
The parties mutually agree to fully release and discharge each other from all their respective obligations and liabilities under, arising from or in connection with the HOA. The lapse of the Proposed Credence Acquisition is not expected to have any material financial, operational, legal, or risk-related impact on the Company.
