We refer to the previous announcements in relation to the Proposals and the offer document dated 20 November 2020 which sets out the details, terms and conditions of the Offer (“Offer Document”). Unless otherwise stated, the terms used herein shall have the same meaning as those defined in the said announcements.

On behalf of the Board, RHB Investment Bank and Astramina Advisory wish to announce that Ekovest has on 11 January 2021 posted a notice to the Dissenting Holders (whose names appear in the Record of Depositors of PLS as at 5:00 p.m. (Malaysian time) on 6 January 2021), notifying them of their rights under Section 223 of the CMSA to require Ekovest to acquire their PLS Shares and/or PLS Warrants on the same terms of the Offer as set out in the Offer Document or such other terms as may be agreed or as the High Court, on application made to it by any Dissenting Holder or by Ekovest, thinks fit to order (“Section 223 Notice”).

In this regard, any Dissenting Holder may serve a notice to Ekovest to require Ekovest to acquire their PLS Shares and/or PLS Warrants no later than 5.00 p.m. (Malaysian time) on Thursday, 11 March 2021, being a date not less than three (3) months from the closing date of the Offer of 5:00 p.m. (Malaysian time) on Friday, 11 December 2020.
