We refer to the announcements dated 23 April 2019 and 26 April 2019 in relation to the Proposed Private Placement. Unless otherwise stated, the terms used herein shall have the same meaning as defined in the said announcements.

On behalf of the Board, RHB Investment Bank and Astramina wish to announce that Bursa Securities had vide its letter dated 29 April 2019, approved the listing and quotation of up to 256,446,959 Placement Shares to be issued pursuant to the Proposed Private Placement, on the Main Market of Bursa Securities subject to the following conditions:

(i) Ekovest and RHB Investment Bank must fully comply with the relevant provisions under the Main Market Listing Requirements of Bursa Securities pertaining to the implementation of the Proposed Private Placement;

(ii) Ekovest and RHB Investment Bank to inform Bursa Securities upon the completion of the Proposed Private Placement;

(iii) Ekovest to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Private Placement is completed;

(iv) if relevant, Ekovest to furnish Bursa Securities with a certified true copy of the resolution passed by shareholders at the forthcoming AGM for the authority to issue Ekovest Shares pursuant to Section 76 of the Companies Act 2016 before the listing of the Placement Shares; and

(v) if applicable, payment of additional listing fee based on the final issue price together with a copy of the details of the computation of the amount of listing fees payable.
